Please read these Terms and Conditions ("Terms") carefully before using the Venture mobile application (the "App") operated by Naprio LTD, trading as Naprio Studios ("we," "us," or "our"), a company registered in England and Wales (Company Number: 17024491, Registered Address: 71-75 Shelton Street, London, England, WC2H 9JQ). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account or using the App, you confirm that:

  • You are at least 13 years of age (or 16 in the European Economic Area/United Kingdom).

  • You have the legal capacity to enter into these Terms.

  • You will comply with these Terms and all applicable laws and regulations.

If you are using the App on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. We reserve the right to update or modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

2. Account Registration and Security

2.1 Account Creation

To access certain features, you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information and to keep your password secure.

2.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorised use of your account.

2.3 Account Suspension or Termination by Us

We reserve the right to suspend or terminate your account for violations of these Terms, fraudulent activity, or conduct harmful to other users. Upon termination, your right to use the App ceases immediately.

2.4 App Updates and Compatibility

We do not guarantee that the App will always be compatible with your specific device, hardware, or operating system version. The App is designed for current and recent versions of iOS and Android. You are responsible for installing regular App updates and maintaining your device’s software to ensure continued functionality and security. We are not liable for any performance issues or malfunctions resulting from the use of outdated hardware or non-supported operating systems.

3. Description of the App

Venture is a travel discovery and planning application that provides AI-powered place recommendations, travel itinerary organisation, virtual passport stamps, and social interaction features. The App is provided for personal, non-commercial use unless otherwise agreed in writing.

4. Subscriptions and Payments

4.1 Free and Premium Tiers

The App offers both free and premium subscription tiers. Premium subscribers receive enhanced features and usage quotas as described at the time of purchase.

4.2 Subscription Terms

Subscriptions are billed on a recurring basis via Apple's App Store. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription through your Apple ID account settings.

4.3 Refunds and Withdrawal

Refund requests are handled by Apple in accordance with their refund policies. Consumers in the EEA or UK have a 14-day right of withdrawal from the date of purchase, which can be exercised via Apple ID settings.

5. User-Generated Content (UGC)

5.1 Your Content

You retain ownership of the content you create ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free licence to use, reproduce, and display your content to operate and improve the App.

5.2 Content Standards

User Content must not be unlawful, fraudulent, defamatory, or infringe on third-party rights. It must not contain viruses or promote hate speech.

5.3 Content Moderation and Safety Mechanisms

We reserve the right to review, monitor, edit, or remove User Content. To ensure a safe community, the App provides a blocking mechanism allowing you to block specific users or content. We maintain a zero-tolerance policy regarding highly objectionable content, harassment, or abusive users.

5.4 Content Reporting and 24-Hour Action

We provide clear mechanisms for users to report inappropriate or objectionable content. We will review and act upon reports of objectionable content or predatory behavior within 24 hours of receiving a notification. Actions may include content removal, user blocking, or permanent account termination.

6. Social and Community Features

The App may allow you to make content public or collaborate on travel plans. You are responsible for the content you make public and whom you choose to share it with. We are not responsible for how others use content you have shared with them.

7. Intellectual Property

The App and its original content, features, and functionality are the exclusive property of Naprio LTD. You may not copy, modify, or reverse engineer the App or its content without prior written consent.

8. AI-Generated Content Disclaimer

8.1 Nature of AI Recommendations

The App uses artificial intelligence to generate place recommendations, scores, and descriptions. You acknowledge that AI systems are subject to "hallucinations" or "confabulations," meaning the AI may generate information that is factually incorrect, logically inconsistent, or entirely fabricated (such as non-existent venues, incorrect accessibility details, or false safety conditions). AI-generated content is provided on an "as-is" basis for discovery purposes only.

8.2 Your Responsibility

You are solely responsible for independently verifying any information obtained through the App before making decisions relating to health, safety, travel, or financial matters.

9. Location Services and Stamps

The App requests location permissions to provide discovery and country stamp features. We do not continuously track your location. Passport stamps are digital collectibles with no monetary value and may be revoked in cases of fraud or location spoofing.

10. Prohibited Conduct

You agree not to use bots or automated means to access the App, attempt to circumvent security features, spoof your location, or engage in activity that imposes an unreasonable load on our infrastructure.

11. Third-Party Services

11.1 Third-Party Integration

The App relies upon third-party services including Supabase, Google, Apple, and RevenueCat. By using the App, you acknowledge and agree that you are also bound by the Google Maps/Google Earth Additional Terms of Serviceand the Apple Maps Terms of Use.

12. Limitation of Liability

THE APP IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPRIO LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DAMAGES RESULTING FROM AI-GENERATED RECOMMENDATIONS OR YOUR INTERACTIONS WITH OTHER USERS.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

13. Dispute Resolution

These Terms shall be governed by the laws of England and Wales. Before filing any formal legal action, you agree to attempt to resolve the dispute informally by contacting support@napriostudios.com.

14. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Naprio LTD.
